Terms and Conditions

By becoming enrolled in the PermissionRewards Program you accept the following terms and conditions (the "Guidelines"):

Acknowledgement and Acceptance of the Guidelines
The PermissionRewards Program ("PermissionRewards" or the "Program") is operated by Online-Rewards on behalf of PermissionResearch, a service of TMRG, Inc. (the "Sponsor" and collectively with Online-Rewards, the "Company") and is provided to you ("you" or "user") under the terms and conditions of these Guidelines and all amendments, operating rules or policies herein. The Company reserves the right to update and change the Guidelines at any time, with or without notice to you. User understands that the most recent version of the Guidelines will be located on the PermissionRewards website (presently located rewards.permissionresearch.com). Failure to adhere to these Guidelines, or any other terms or conditions presented at the time of merchandise selection, may result in the termination of your PermissionRewards account, and the forfeiture and relinquishment of all points you have accrued in the Program.

Description of the Program
PermissionRewards allows for the registered user to accumulate points through activities determined by the Sponsor. Points accumulated in the Program are non-transferable to other users or accounts and have no cash or monetary value unless explicitly stated otherwise by the Sponsor.

Reservation of Rights
PermissionRewards and all benefits entailed therein are offered at the discretion of the Company, and the Company has the right to modify or discontinue, temporarily or permanently, the Program, including the point levels, in part or in their entirety, for any reason, at the sole discretion of the Sponsor, with or without user notice. Among other things, the Company may withdraw, limit, modify or cancel any redeemable merchandise; increase the points required for any gift not yet selected for redemption; modify or regulate the transferability of merchandise or other benefits as stipulated by the Sponsor. You agree that the Company will not be liable to you or any third-party for any modification or discontinuance of the Program. Although every effort has been made to ensure that the information in the Guidelines is accurate, the Company is not responsible for typographical errors or omissions.

Eligibility, User Account
Any resident of the U.S. or Canada who receives a survey invitation referencing the Program is eligible to join. Upon completion of the applicable survey, the user receives an email providing notification that a PermissionRewards account has been created. In addition to the Guidelines, your use of PermissionRewards is subject to any agreements that exist between you and the Sponsor. The user is responsible for maintaining the confidentiality of the username and password issued to such user, and for any and all activities that occur under said username and password. If your PermissionRewards account is terminated by you or by the Company, for whatever reason, all accumulated points will be forfeited. You agree to immediately notify us at support-team@permissionresearch.com of any unauthorized use of your account or any other breach of security known to you.

PermissionRewards Registration
In consideration of your use of PermissionRewards, you agree to: (a) provide true, accurate, current and complete information about yourself as prompted by the PermissionRewards registration form, and (b) maintain and promptly update the registration data to keep such information true, accurate, current and complete. If you provide any information that is untrue, inaccurate, not current or incomplete, or the Company has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, the Company has the right to terminate your account and refuse any and all current or future access to, or use of, the Program. Each PermissionRewards account is limited to one individual user, and each user is limited to one email address. Participation in the PermissionRewards Program is subject to all applicable ordinances, statutes, and laws. You can review your accumulated points, review the Guidelines as periodically amended, and review redemption options at rewards.permissionresearch.com.

Privacy Policy
The user acknowledges and agrees that the Company will disclose certain personal information provided by the user as part of the registration process to third parties as needed for the delivery of merchandise redeemed with points, to the location specified by the user. Such third parties will strictly adhere to the Sponsor’s privacy statement, agreeing to maintain the confidentiality and protection of your personal information at all times during and after providing service. All registration data and other information about the user are subject to PermissionResearch's Privacy Policy.

Point Accumulation
Points are accumulated by the successful completion of requirements specified by Sponsor, which may include, but are not limited to: completing surveys, membership signup, referring other users and making purchases. The amount of compensation allocated in points to the user at the PermissionRewards site is solely at the discretion of Sponsor. The Company expressly reserves the right to establish additional means of accruing points, to delete any or all of the means currently in effect, or to exclude specific types of transactions from the accumulation of points. Points can be accrued only for activity actually taken and completed by you, and can only be applied to your account. Points posted to your account for transactions that are subsequently voided will reduce the points accrued in your account by the number of points earned for the underlying transaction. The Company will use reasonable efforts to allocate earned points to each user's account. However, you are responsible for ensuring that your points are properly credited. If you believe that points have been earned but not credited, please contact PermissionResearch at support-team@permissionresearch.com. Points will be maintained in your account until they are redeemed for merchandise or until they expire or are forfeited, whichever occurs first. The Sponsor is responsible for determining the expiration date on points. Unless otherwise specified, panelists will only be rewarded points one time per completed survey. Duplicate completions of the same survey will not be rewarded with points.

Non-Transferability
All points are non-transferable and are void if transferred. PermissionRewards accounts are not transferable upon death, or as part of a domestic relations matter or otherwise by operation of law. In the event of a user's death, the user's account will be immediately terminated. Points have absolutely no cash or monetary value. Points and/or redeemed merchandise are not to be bartered or sold.

Points Expiration
You may retain your points so long as you remain an active member of PermissionResearch. However, if you choose to stop receiving survey invitations from PermissionResearch by notifying us by email at support-team@permissionresearch.com, clicking on the unsubscribe link contained in a PermissionResearch email, removing yourself from the panel via the PermissionResearch Members Area, or by marking our emails as spam through your email provider, then your points will expire 30 days after the date upon which you made that selection. Additionally, PermissionResearch retains the right to delete your PermissionRewards account and immediately expire any points within that account if you fail to respond to any survey invitations over a period of six months or if we determine that the email address associated with a points account is no longer valid.

Merchandise
Points are redeemable for merchandise, provided that your PermissionRewards account is in good standing. Merchandise is selected from the Online-Rewards catalog. The value of the item chosen cannot exceed that of the amount of points currently accrued. Making a selection of a reward of a lesser value is permitted, and any unused points will remain in the user's PermissionRewards account for future use. Points will be immediately subtracted from the user's account upon merchandise selection. Points earned in two or more different accounts hosted by Online-Rewards on behalf of Sponsor or any other affiliated company, may not be combined for the redemption of any merchandise. Some merchandise has limited availability and all items are subject to availability and other terms and conditions as the Company may specify from time to time. Some rewards may be subject to separate terms and conditions listed by the providers of those rewards. Neither redeemed prizes nor unredeemed points are transferable for cash.

Fraud
The Company shall be the sole determiner in cases of suspected abuse, fraud, or violation of its rules and any decision made shall be final and binding. Fraud or abuse relating to the accrual of points or redemption of merchandise may result in forfeiture of accrued points as well as the termination of your PermissionRewards account. You are solely responsible for any fraudulent use of your points due to the theft or the sharing of your password. PermissionRewards is a service provided to an individual PermissionResearch user, not a company.

IT IS CONSIDERED FRAUDULENT AND ABUSIVE FOR ANY INDIVIDUAL OR COMPANY TO DIRECT, ENCOURAGE, OR ALLOW INDIVIDUALS TO USE A SINGLE PERMISSIONREWARDS ACCOUNT FOR THE PURPOSE OF ACCUMULATING POINTS FOR COMPANY USE.

Disclaimer of Warranties
ALL MATERIALS, INFORMATION, SOFTWARE, PRODUCTS, AND SERVICES INCLUDED IN OR AVAILABLE THROUGH THIS SITE (THE "CONTENT") ARE PROVIDED "AS IS" AND "AS AVAILABLE" FOR YOUR USE. THE CONTENT IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT. IN ADDITION THE COMPANY'S LICENSORS DO NOT WARRANT THAT THE CONTENT IS ACCURATE, RELIABLE, OR CORRECT; THAT THIS SITE WILL BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; THAT ANY DEFECTS OR ERRORS WILL BE CORRECTED; OR THAT THE CONTENT IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. Limitation of Liability, Indemnity and Release
UNDER NO CIRCUMSTANCES SHALL THE COMPANY BE LIABLE TO YOU OR ANY THIRD PARTY FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR EXEMPLARY DAMAGES (EVEN IF THAT PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), ARISING FROM THE USE OF OR INABILITY TO USE THE SERVICE OR ARISING FROM ANY OTHER PROVISION OF THE GUIDELINES. You accept all responsibility for, and hereby agree to indemnify and hold harmless the Company from and against, any actions taken by any user authorized to use your account, including but not limited to accrual of points, redemption of points, and disclosure of passwords to third parties. By utilizing PermissionRewards you release the Company, their providers, and all affiliates from any and all liability regarding the redemption of points, use of merchandise, or other participation in the Points Program.

Intellectual Property Rights
The content of the Program and the PermissionRewards web site is intended for the personal, noncommercial employment of its users. The Company retains all right, title and interest (including, without limitation, all patents, copyright trademarks, and other intellectual property rights embodied therein) to the words PermissionResearch, PermissionRewards, Online-Rewards, and any phrase or logo incorporating the above mentioned (collectively, "Company Intellectual Property"). All rights reserved. The user agrees not to display or use any Company Intellectual Property. All other trademarks and or copyrights appearing on PermissionRewards pages are the property of their respective owners, and unless otherwise stated, the Company and the respective owners of said intellectual property are not affiliated. Except as expressly authorized by the Company, you agree not to sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit, or create derivative works from such materials or content. Use of the content or materials for any purpose not expressly permitted in these Guidelines is prohibited.

Choice of Law and Forum
These Terms of use shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, excluding its conflicts of law rules. You expressly agree that the exclusive jurisdiction for any claim or action arising out of or relating to these Guidelines or your use of this site shall be filed only in the state or federal courts located in the Commonwealth of Virginia, and you further agree and submit to the exercise of personal jurisdiction of such courts for the purpose of litigating any such claim or action.
